Minutes of Meeting MINUTES OF FIRST CLUB ASSEMBLY OF RI YEAR 2024-25 OF RCP SPORTS CITY (CLUB NO 31139) HELD ON OCTOBER 8, 2024 AT 7.30 PM AT VENUE OF GROUND FLOOR, MEETING ROOM, BAL KALYAN SANSTHA, GANESH KHID ROAD, AUNDH, PUNE-411007 QUORUM WAS APPROVED BY THE MEMBERS! 1. Meeting Called to Order: The meeting was called to order at 7:30 PM. A quorum was established by the members present. The assembly began with the National Anthem, followed by the Rotary Four-Way Test. A one-minute silence was observed to honour the relatives of members who had passed away in the last week. The agenda and notice for club assembly was taken accepted duly received and read. 2. Business Transacted as per agenda: 1. Approval of Amendment to Trust Deed: PP Rtn. Kautubh presented the proposed amendments to the Trust Deed of the Pune Sports City Rotary Trust. The members unanimously approved the amendment with recommendations to include terms like “Olympic Games,” “potable,” and “waste management” under the environment section. Rtn. Kautubh thanked Ajit Ghate for his insights and acknowledged Sameer Gupte for facilitating the amendments by arranging trust deeds of other NGOs and assisting with CSR clauses. The said amendments will be further shared with Advocate for filing with Charity Commissioners Office. 2. Approval of 2% Admin Charges for CSR Donations: It was agreed that implementing a 2% administrative charge on CSR donations was critical for the sustainability of the trust. President Sadhana was tasked with appointing a committee to finalize this policy. PP Sandesh Sawant was appointed as Chairman of the CSR Admin Fee Committee, with Rtn. Jane, Rtn. BMK Sethi, Rtn Sameer Gupte and Rtn. Sunil Halbe as members. The committee was asked to expedite the finalization of the policy. RESOLVED THAT CSR admin charges committee is hereby appointed to finalize all aspects of CSR donations received by the Trust and device a stable and well informed policy. 3. Updates and Reports from Club and Trust Leadership: Club President Sadhana Joshi and Treasurer Rtn. Sushrut Sardesai provided updates on membership growth, community projects, CSR activities, the club’s financial position, and the frequency of weekly meetings. 4. Discussion on Amendment to Quorum Clause of Club Assembly Bylaws: The need to amend the quorum clause of the club’s bylaws to align with the amended Trust Deed was discussed. President Sadhana appointed a committee, led by Chairman Ajit Ghate, and comprising BMK Sethi, Sushrut Sardesai, Datta Khade, Moiz Bohri, Bhupi Sethi , Prassan Chobe and Sameer Gupte, to review and recommend changes to the bylaws, particularly with respect to quorum requirements, ordinary resolutions, and special resolutions. The committee is expected to present the amended bylaws by January 2025 or at the latest by the second Club Assembly of RI Year 2024-25. RESOLVED THAT committee be appointed by President as above for amemndment to bye laws of the club and be amended at the earliest. 5. Any Other Business: a) President Sadhana urged the members to actively introduce potential new members to the club, following the resignation of the Membership Director. b) President Sadhana also encouraged members to improve meeting attendance and suggest quality speakers for future weekly meetings. c) Additionally, the President proposed that project meetings could be counted as club weekly meetings, with a minimum of two regular meetings per month, as required by Rotary International. This proposal was unanimously approved. RESOLVED THAT project meetings may be considered as club meetings with a limit of minimum 2 weekly club meetings every month. The President of the club reserves the right to have discretion for the same depending on business requirement. d) It was brought to the notice of all kind gesture by President Sadhana and First Gentleman for sponsoring “ Club Installation “ expenses from own pocket. The savings in the club finances will be used for benefit of the club members strictly during the year as per rules. RESOLVED THAT the kind gesture is unanimously accepted not as precedent and savings be here by used for further club members benefit/ expenses only during the year. 3. Conclusion: The meeting was adjourned at 8.45 PM, with the President thanking all members for their participation and commitment to the club’s objectives.
